a. Intellectual Property Ownership. All rights, title, and interest in and to the Equipment and any embedded or associated software, firmware, systems, interfaces, documentation, or data (collectively, “PamiTV IP”) are and shall remain the exclusive property of PamiTV or its licensors. No rights are granted to Vendor other than as expressly set forth in this Agreement. 

b. Use Restrictions. Vendor shall not, and shall not permit any third party to: (i) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying ideas, algorithms, or structure of the Equipment or any PamiTV IP; (ii) copy, modify, translate, adapt, or create derivative works based on any PamiTV IP; (iii) use the Equipment or any PamiTV IP to develop or improve competing products or services; or (iv) remove, obscure, or alter any proprietary notices on the Equipment or PamiTV IP. 

c. Injunctive Relief. Vendor acknowledges that any breach of this Section 4 may cause immediate and irreparable harm to PamiTV for which monetary damages would be an inadequate remedy. Accordingly, PamiTV shall be entitled to seek equitable relief, including injunctive relief and specific performance, without the requirement to post bond or prove actual damages. 

Confidentiality.  Vendor agrees to treat all non-public information disclosed by PamiTV, including but not limited to technical specifications, performance data, user interface features, pricing information, and product development plans, as confidential. Vendor shall not disclose such information to any third party without PamiTV’s prior written consent and shall use the same degree of care as it uses to protect its own confidential information (but no less than reasonable care).
